Terms and Conditions
These Terms and Conditions ("Terms") govern your access to and use of the Insula platform (the "Service"), operated by Aurelius Automation LLC ("Aurelius Automation LLC," "we," "us," or "our"), an Illinois limited liability company with its principal place of business at 350 N Canal St Apt 2210, Chicago, IL 60606.
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
Insula is a software-as-a-service platform that helps independent landlords and property managers ("Landlord Customers") manage rental properties, including features for property and tenant management, maintenance coordination, rent payment facilitation, lead intake, and SMS and email communications.
The Service is operated by Aurelius Automation LLC. "Insula" is the product name; Aurelius Automation LLC is the legal entity providing the Service.
2. Eligibility and Accounts
You must be at least 18 years old and have the legal capacity to enter into binding contracts to use the Service. By creating an account, you represent that you meet these requirements.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at support@aureliusautomation.io if you suspect unauthorized access.
3. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of applicable laws, including landlord-tenant law, fair housing law, the Telephone Consumer Protection Act (TCPA), or carrier guidelines.
- Send marketing or promotional SMS through the Service; the Service supports operational and transactional messages only.
- Send messages to individuals who have opted out.
- Upload false, misleading, or unauthorized information about properties, tenants, leads, or vendors.
- Attempt to gain unauthorized access to the Service, other accounts, or our systems.
- Reverse engineer, decompile, or otherwise attempt to derive the source code of the Service.
- Resell, sublicense, or redistribute the Service.
4. SMS Program Terms
The Service includes an SMS messaging feature operated through Twilio. The following terms apply to all SMS communications sent or received through the Service.
Program Name: Insula SMS Program, operated by Aurelius Automation LLC.
Program Description: Aurelius Automation LLC sends operational SMS messages to tenants, prospective tenants (leads), and vendors on behalf of Landlord Customers. Messages relate to property management activities including:
- Maintenance request acknowledgments and status updates.
- Rent payment reminders and payment links.
- Lease renewal offers.
- Lead qualification follow-ups for property inquiries.
- Vendor dispatch coordination.
- Account and tenancy notifications.
Message Frequency: Message frequency varies based on user activity and tenancy events. Recipients should expect messages only when there is a tenancy- or inquiry-related matter requiring communication.
Consent: By providing your phone number to a Landlord Customer in connection with a tenancy, lease application, or property inquiry, you consent to receive SMS messages from Aurelius Automation LLC on behalf of that Landlord Customer. Tenants additionally provide written consent through an SMS Communications Consent Addendum to their lease agreement.
Opt-Out: You may opt out of SMS communications at any time by replying STOP to any message. After opting out, you will no longer receive SMS messages unless you reply START to re-subscribe.

Message and Data Rates: Message and data rates may apply depending on your mobile carrier and plan. Aurelius Automation LLC does not charge recipients for SMS messages.
Supported Carriers: The Service uses Twilio for SMS delivery. SMS support is available through major U.S. mobile carriers. Aurelius Automation LLC and Twilio are not liable for delays or failed delivery caused by carrier-side issues.

5. Subscription Fees and Payment
Landlord Customers pay subscription fees for access to the Service as set forth in the applicable order form, pricing page, or invoice. Subscription fees are payable in advance and are non-refundable except as expressly provided.
Rent payments processed through the Service flow directly between tenants and the Landlord Customer's own Stripe account. Aurelius Automation LLC is not a party to rent payment transactions and does not hold tenant funds.
Stripe processing fees are charged separately by Stripe to the Landlord Customer in accordance with Stripe's terms.
6. Intellectual Property
The Service, including all software, designs, branding (including "Insula"), and documentation, is owned by Aurelius Automation LLC and protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service during your active subscription. No other rights are granted.
You retain ownership of data you upload or generate through the Service ("Your Data"). You grant Aurelius Automation LLC a worldwide, non-exclusive, royalty-free license to use, store, process, and transmit Your Data solely as necessary to provide the Service, comply with legal obligations, and improve the Service.
7. Privacy
Use of the Service is also governed by our Privacy Policy, available at https://aureliusautomation.io/privacy, which is incorporated into these Terms by reference.
8. Third-Party Services
The Service integrates with third-party services including but not limited to Twilio (SMS delivery), Stripe (payment processing), Clerk (authentication), and others described in our Privacy Policy. Your use of those third-party services is subject to their respective terms and privacy policies. Aurelius Automation LLC is not responsible for the acts, omissions, or content of third-party services.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." AURELIUS AUTOMATION LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AURELIUS AUTOMATION LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. YOU USE THE SERVICE AT YOUR OWN RISK.
Aurelius Automation LLC is not responsible for the conduct of Landlord Customers, tenants, leads, vendors, or other users of the Service. Landlord Customers operate independent rental businesses; Aurelius Automation LLC provides software to support those businesses.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AURELIUS AUTOMATION LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS.
AURELIUS AUTOMATION LLC'S TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU TO AURELIUS AUTOMATION LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to defend, indemnify, and hold harmless Aurelius Automation LLC and its officers, members, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your breach of these Terms, including any failure to obtain valid SMS consent from individuals whose phone numbers you submit to the Service.
- Your violation of applicable law in using the Service.
- Any claim by a tenant, lead, vendor, or third party arising from your use of the Service or your conduct as a landlord, property manager, or other user.
- Your gross negligence or willful misconduct.
12. Termination
These Terms remain in effect while you use the Service. Either party may terminate as set forth in any applicable Service Agreement. Aurelius Automation LLC may suspend or terminate access immediately for material breach, including violation of Section 3 (Acceptable Use) or Section 4 (SMS Program Terms).
Upon termination, your right to access the Service ceases. Sections 6, 9, 10, 11, 13, and 14 survive termination.
13. Governing Law and Venue
These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-laws principles. Any dispute arising under these Terms shall be brought exclusively in the state or federal courts located in Cook County, Illinois, and the parties consent to the personal jurisdiction of such courts.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email to active account holders or by posting notice on our website. Continued use of the Service after changes take effect constitutes acceptance.
